Please read these Terms of Service ("Terms") carefully before using the Budbo platform operated by The Port Royal Company ("Company," "we," "us," or "our").

1. Acceptance of Terms

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access our services.

2. Eligibility

You must be at least 21 years of age to use our services. By using Budbo, you represent and warrant that:

• You are at least 21 years old
• You are legally able to enter into binding contracts
• You are located in a jurisdiction where cannabis is legal for your intended use
• You will comply with all applicable laws and regulations
• You are not prohibited from using cannabis products under any applicable law

We reserve the right to verify your age and identity at any time and to refuse service to anyone who cannot verify their eligibility.

3. Account Registration and Security

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

4. Platform Services

Budbo is a technology platform that connects consumers with licensed cannabis dispensaries and retailers. We provide:

• Product discovery and browsing
• Dispensary and retailer information
• Order placement and management
• Rewards and loyalty programs

Important: Budbo does not sell cannabis products directly. All products are sold by licensed dispensaries and retailers who are solely responsible for compliance with applicable laws and regulations.

5. Permitted Use

You may use our services only for lawful purposes. You agree to:

• Use our services in compliance with all applicable laws
• Provide accurate information in all transactions
• Not resell or redistribute cannabis products purchased through our platform
• Not use our services for any commercial purpose without authorization

6. Prohibited Conduct

You agree NOT to:

• Violate any applicable law or regulation
• Purchase products for anyone under 21 years of age
• Transport cannabis products across state lines
• Misrepresent your identity or age
• Use the platform for illegal activities
• Interfere with or disrupt our services
• Attempt to gain unauthorized access to our systems
• Harvest or collect user information without consent
• Post false, misleading, or defamatory content
• Engage in any activity that could harm our reputation or business

7. Cannabis Product Disclaimers

• Cannabis products may have intoxicating effects
• Cannabis use may impair your ability to drive or operate machinery
• Cannabis products should be kept away from children and pets
• Effects may vary by individual
• Consult a healthcare provider before use if you have medical conditions
• Do not use if pregnant or breastfeeding

8. Orders and Transactions

Order Placement

When you place an order through Budbo, you are entering into a transaction with the licensed dispensary or retailer, not with Budbo directly. Each dispensary sets its own prices, products, and policies.

Payment

Payment methods and policies are determined by individual dispensaries. We facilitate payment processing but are not responsible for payment disputes between you and the dispensary.

Cancellations and Refunds

Cancellation and refund policies vary by dispensary. Please review the specific policies of the dispensary you are ordering from.

9. Intellectual Property

The Budbo platform, including its design, features, content, and technology, is owned by The Port Royal Company and protected by intellectual property laws. You may not:

• Copy, modify, or distribute our content without permission
• Use our trademarks without authorization
• Reverse engineer or decompile our software
• Remove any copyright or proprietary notices

10. User Content

You may be able to submit reviews, comments, or other content. By submitting content, you grant us a non-exclusive, royalty-free license to use, modify, and display that content. You represent that you own or have rights to any content you submit.

11. Third-Party Links and Services

Our platform may contain links to third-party websites or services. We are not responsible for the content, policies, or practices of third parties. Your use of third-party services is at your own risk.

12. Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We do not warrant that:

• Our services will be uninterrupted or error-free
• Defects will be corrected
• Our services are free of viruses or harmful components
• Information provided through our services is accurate or complete

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PORT ROYAL COMPANY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OUR SERVICES.

Our total liability shall not exceed the amounts paid by you to us in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless The Port Royal Company and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any applicable law
• Any content you submit to our platform

15. Dispute Resolution

Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@budbo.com to attempt to resolve the dispute informally.

Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Las Vegas, Nevada.

Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our platform and updating the "Last updated" date. Your continued use after changes constitutes acceptance of the modified Terms.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
